Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of all services provided by I-Swipe Technologies Ltd (RC No. 7752654), including our website, ICT Academy, Simplipay, SkillMart, and HR Suite platforms (collectively, "Services").

By creating an account, making a payment, or using any part of our Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Our Services

I-Swipe Technologies provides:

• ICT Academy — Technology training programmes, online and in-person
• Simplipay — Payment processing infrastructure for businesses
• SkillMart — Talent marketplace connecting businesses with vetted professionals
• HR Suite — Workforce management and payroll automation platform
• Digital Services — Web development, design, consulting, and corporate training

We reserve the right to modify, suspend, or discontinue any service with reasonable notice.

3. Accounts & Registration

• You must provide accurate, current, and complete information when registering
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised account access
• One person may not maintain multiple accounts without prior written approval
• Accounts are non-transferable unless explicitly permitted by us in writing
• You must be at least 16 years old to create an account

4. Academy-Specific Terms

Enrolment

Enrolment is confirmed only upon receipt of full or agreed instalment payment. I-Swipe reserves the right to withdraw offers of admission before payment is received.

Course Content

All curriculum materials, videos, assessments, and resources are the intellectual property of I-Swipe Technologies. Students may not share, redistribute, or commercialise course content.

Conduct

Students must maintain professional conduct in all learning environments. Academic dishonesty, harassment, or disruptive behaviour may result in immediate removal without refund.

Certificates

Certificates of completion are issued upon satisfying all course requirements. I-Swipe certificates represent successful completion of our programme and do not constitute government-accredited qualifications unless stated.

Scholarships

Scholarship awards are at the sole discretion of I-Swipe Technologies. Scholarship terms, conditions, and continuation criteria are communicated at the time of award.

5. Payments, Pricing & Refunds

Pricing

All prices are in Nigerian Naira (NGN) unless stated otherwise. Prices are subject to change with 30 days' notice for existing subscriptions.

Payment

Payments are processed securely through our payment partners. We accept card payments, bank transfers, and mobile money. We do not store card details.

Refund Policy

• Academy programmes: Full refund if requested within 7 days of payment and before the first live session. No refund after the first session.
• Simplipay: Transaction fees are non-refundable once processed. Setup fees refundable within 14 days if integration has not commenced.
• SkillMart: Escrow funds are released per agreed milestones. Disputes handled through our resolution process.
• HR Suite: Monthly subscriptions cancellable with 30 days' notice. Annual plans refunded pro-rata for unused months.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of Nigerian law
• Attempt to gain unauthorised access to our systems or other users' accounts
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users or our staff
• Use automated tools to scrape, crawl, or extract data
• Impersonate I-Swipe Technologies or any staff member
• Reverse-engineer or attempt to extract source code from our platforms
• Process fraudulent transactions through Simplipay

Violations may result in immediate account termination and may be reported to relevant authorities.

7. Intellectual Property

All content on our platforms — including code, design, curriculum, branding, and documentation — is owned by or licensed to I-Swipe Technologies Ltd and protected by Nigerian and international copyright law.

You retain ownership of content you create and upload. By uploading content, you grant I-Swipe a non-exclusive licence to display and use that content in connection with our services.

The I-Swipe name, logo, and product names (Simplipay, SkillMart, HR Suite) are trademarks of I-Swipe Technologies Ltd. Unauthorised use is prohibited.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law, I-Swipe Technologies shall not be liable for:

• Indirect, incidental, or consequential damages arising from service use
• Loss of profits, data, or business opportunities
• Service interruptions caused by factors outside our control (force majeure)
• Actions of third-party service providers

Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

Nothing in these Terms excludes liability for fraud, gross negligence, or matters that cannot be excluded by law.

9. Termination

We may suspend or terminate your account at any time if you:

• Breach any provision of these Terms
• Engage in fraudulent or illegal activity
• Fail to pay amounts owed
• Cause harm to other users or our platform

You may close your account at any time by contacting us. Account closure does not affect payment obligations already incurred.

10. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to mediation or the courts of the Federal Capital Territory, Abuja.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use after changes constitutes acceptance of the updated Terms.
